Navigating Delegation of Authority in Corporate Governance

15 – 19 June 2026, Abu Dhabi02 – 06 Nov. 2026, Cairo

COURSE OVERVIEW:

The structural integrity of a corporation depends on a clearly defined and rigorously managed framework for decision-making and financial commitment. This course provides a high-level exploration of the Delegation of Authority (DoA), focusing on how organizations balance the need for operational agility with the necessity of robust oversight. It examines the strategic design of authority matrices that empower managers while protecting the enterprise from unauthorized risks and financial exposure.

The scope of this training encompasses the legal and regulatory foundations of corporate governance, the creation of comprehensive DoA policies, and the technical implementation of approval workflows. Participants will learn how to define financial thresholds, differentiate between "Operating" and "Capital" expenditure authority, and manage the nuances of "Joint Signature" requirements. The course addresses the complexities of global operations, providing practical tools for maintaining governance consistency across diverse subsidiaries and international business units.

Coverage includes the analysis of the "Principal-Agent" relationship, the implementation of automated "E-Approval" systems, and the execution of periodic authority audits. Attendees will explore the link between DoA and internal control frameworks like COSO, and learn how to manage "Emergency" or "Interim" delegations during organizational transitions.
